1. GENERAL TERMS

By registering, bidding, or purchasing in any Auction Republic sale, you acknowledge and accept these Terms & Conditions in full. Auction Republic is a trade name operated by 11941470 Canada Inc., a registered business in Ontario, Canada.

All items are sold strictly "As-Is, Where-Is," with no warranties, guarantees, or representations - express or implied - unless explicitly stated in writing by Auction Republic.

Auction Republic reserves the right to:

• Modify, add, or remove terms at its discretion without prior notice

• Withdraw, combine, or divide lots before or during the sale

• Refuse, cancel, or reject any bid at its sole discretion

In case of conflict between these Terms & Conditions and any other communication, these Terms & Conditions shall prevail.

2. BIDDER REGISTRATION & ELIGIBILITY

• All bidders must register with accurate and verifiable information. Proof of ID may be required at any time.

• A $1.00 USD temporary hold may be applied to the credit card on file for verification. This is not a charge and will be released automatically.

• Bidders must be at least 18 years old to participate.

Placing a bid is a legally binding contract. ALL SALES FINAL.

Auction Republic reserves the right to deny access or revoke bidding privileges at any time.

Marketing Communications Consent

By registering for an Auction Republic account, participating in an auction, subscribing through our website, or otherwise providing your email address to Auction Republic, you consent to receive electronic communications from Auction Republic, including but not limited to:

• Upcoming auction announcements

• Auction opening and closing reminders

• New inventory alerts

• Promotional offers and special events

• Business updates and service announcements

• Account-related notifications

You may withdraw your consent and unsubscribe from marketing communications at any time by using the unsubscribe link included in our emails or by contacting Auction Republic directly.

Withdrawal of consent to receive marketing communications does not affect Auction Republic's ability to send transactional, administrative, legal, account-related, invoice, payment, pickup, dispute resolution, or other communications necessary to administer your account, fulfill transactions, enforce these Terms & Conditions, or comply with legal obligations.

By registering and providing your contact information, you acknowledge and agree that Auction Republic may maintain records of your consent and communication preferences for compliance purposes.

3. BIDDING TERMS

• All bids are final and cannot be withdrawn.

• The highest bid received at auction close is the winning bid and constitutes a binding purchase agreement.

• Bidders are encouraged to use the "Contact Auctioneer" feature for clarifications before bidding.

4. PAYMENT TERMS

Accepted Payment Methods

• Credit Card on file (default)

• E-transfer (must be indicated at registration)

The credit card on file is the default and primary payment method and will be automatically charged immediately upon auction close, including a 2% credit card processing fee, unless the bidder has properly indicated e-transfer at the time of registration.

E-Transfer Selection Requirement

• Bidders intending to pay by e-transfer must clearly enter “E-TRANSFER PAYMENT” or similar lines to the Notes to Seller/Auctioneer field at the time of registration.

• Requests to change the payment method after registration, after bidding has begun, or after auction close will not be accepted under any circumstances.

If a valid e-transfer request is not recorded at registration, the credit card on file will be charged automatically, including the 2% processing fee, without exception.

E-Transfer Conditions

E-transfer payments:

• Do not incur the 2% credit card processing fee

• Must be sent only to the email provided on the invoice or official communication

• Must be sent immediately upon receipt of invoice

Auction Republic reserves the right, at its sole discretion, to:

• Restrict any bidder to credit card only

• Refuse or cancel any payment that does not clear immediately

Failed or Declined Payments

• If the credit card on file is declined, the bidder will receive an automated payment notice with a secure payment link.

• The bidder has 48 hours from notification to complete payment.

Failure to complete payment within 48 hours will result in:

• Immediate invoice cancellation

• Forfeiture of all items without refund or notice

• Permanent account ban (“No Pay”)

• Reporting to HiBid, which may impact participation on other platforms

If payment is completed by credit card after a failed attempt, the 2% processing fee will apply.

Release of Items

• No items will be released under any circumstances until full payment has been received and cleared.

Chargebacks

• All sales are final.

• Chargebacks are strictly prohibited.

Any attempt to reverse or dispute a charge will result in:

• Immediate account suspension

• Permanent ban from Auction Republic

• Potential legal action to recover losses, fees, and damages

5. PICKUP, SHIPPING & INSPECTION TERMS

• All items are sold "AS-IS, WHERE-IS," with no guarantees, warranties, returns, or store credit offered after pickup, regardless of the item's condition or accuracy of its listing.

• Buyers are responsible for inspecting their items at the designated pickup/testing area before departure.

"Accepting the item" means:

• You have inspected (or chosen not to inspect) the item

• You remove it from the pickup/testing counter or leave the premises

At that moment, you accept full responsibility for the item as-is and waive all rights to dispute or claim.

Once an item has left the premises, NO REFUNDS, STORE CREDIT, ADJUSTMENTS, or CLAIMS OF MISDESCRIPTION, DEFECT, or INCOMPLETENESS will be accepted.

Pickup Policy

• Pickup is by appointment only using our online booking system.

• Walk-ins will not be permitted.

• You must arrive on time. Early/late arrivals may be turned away at our discretion.

• Any item not picked up during the scheduled pickup window - and without a pre-approved alternate arrangement - will be deemed abandoned and forfeited without refund.

• Bidders must bring their own tools, equipment, and labor for loading.

Auction Republic staff are not responsible for assisting with lifting, loading, or securing items.

Delivery with pkgPlace

• Auction Republic does not provide in-house shipping. However, we have partnered with pkgPlace, an independent third-party delivery provider, to offer buyers the option of having their auction winnings delivered at a flat rate.

• It is the responsibility of the bidder to sign up for delivery with pkgPlace directly and not to request "shipping" in the bidder notes section.

• Items will not be released for delivery until the invoice is paid in full to Auction Republic.

• Once items are released from our warehouse to pkgPlace, Auction Republic is no longer responsible for those items, including loss or damage in transit.

• Payment for delivery services is made directly to pkgPlace. Auction Republic does not collect or process delivery fees.

6. BUYER’S PREMIUM, PROCESSING FEES & TAXES

All winning bids are subject to the following additional charges:

• 16% Buyer’s Premium

• 2% Credit Card Processing Fee (applies to all credit card transactions)

• $1.00 Handling Fee per lot

• 13% HST applied to the full invoice subtotal including all fees

All bidders acknowledge and agree to these charges prior to placing any bids.

By registering and participating in the auction, you expressly authorize Auction Republic to charge the payment method on file for the full invoice amount, including all applicable fees and taxes.

Failure to read or understand these terms does not exempt bidders from payment obligations.

Any attempt to dispute or initiate a chargeback for valid charges, including but not limited to Buyer’s Premium, processing fees, handling fees, or taxes, will be considered a breach of these Terms & Conditions.

Auction Republic reserves the right to:

• Provide these Terms & Conditions and bidder registration records as evidence to the payment processor

• Suspend or permanently ban the bidder from future auctions

• Pursue recovery of funds, including any associated administrative or legal costs

By bidding, you confirm that you understand and accept all applicable fees and charges.

7. REFUNDS, RETURNS & EXCHANGES

All sales are final. No refunds, returns, or exchanges will be provided under any circumstances.

Buyers are responsible for inspecting all items at the time of pickup. Any concerns must be raised before leaving the premises.

Once an item has been removed from the pickup area or the buyer has left the premises, the item is considered accepted, and no claims will be accepted, including but not limited to items that are:

• materially different from the description

• defective, incomplete, or non-functional

This policy applies to all items, including those marked:

• “Untested”

• “As-Is”

• “For Parts Only”

• “Mixed Merchandise” (General, Clothing & Pet)

• or any other condition designation

8. ITEM CONDITION & CATALOGUE DISCLAIMERS

Items may be returns, liquidation stock, or shelf pulls and may show signs of handling, retail stickers, or damage not visible in photos.

All items are sold without guarantee as to:

• Functionality

• Completeness

• Accuracy of photos or descriptions

Descriptions and photos are provided as a general reference only. They may not reflect:

• Colour

• Condition

• Model number

• Functionality

• Missing parts

If there is a conflict between photos and the written description, the written description prevails.

Auction Republic is not responsible for any:

• Mislabeling

• Incomplete packaging

• Incorrect contents

• Shelf pulls, returns, overstock, or freight-damaged merchandise

Food & Consumable Goods Disclaimer

All consumable goods - including but not limited to food, beverages, candy, condiments, snacks, vitamins, supplements, nutritional products, pet food, and any other ingestible or topical product - are sold strictly "AS-IS, WHERE-IS," with no warranties, guarantees, or representations of any kind, whether express or implied.

Such goods may be approaching or past their “best before” dates, which relate to quality and not safety.

Auction Republic does not sell expired consumable goods. All food items offered for sale are not expired at the time of auction closing.

Auction Republic makes no representation regarding:

• Safety for human or animal consumption

• Quality, freshness, or taste

• Storage, handling, or transport conditions prior to sale

• Compliance with any applicable health, safety, or labelling standards

By placing a bid, the buyer expressly assumes all risks associated with the possession, handling, storage, and consumption of such goods, and waives any right to claim, dispute, refund, return, credit, or compensation for expired, undated, mislabelled, recalled, damaged, opened, or otherwise unsuitable consumable goods. No exceptions will be made.

By accepting food items, I acknowledge Section 5 ‘Accepting the item’ and assume all associated risks.

ITEM-SPECIFIC DISCLAIMERS

Authenticity

• Auction Republic does not verify or authenticate branded items. We make no representations or warranties regarding authenticity, origin, or manufacturer authorization.

• Brand names, logos, or trademarks are used for identification purposes only. All items are sold AS-IS, WHERE-IS, and no returns or claims will be accepted based on authenticity.

Supplements & Health Products

• Certain lots may include dietary supplements, vitamins, or health-related products.

• Auction Republic does not verify the safety, effectiveness, ingredients, storage conditions, or suitability of these products. Buyers assume full responsibility for reviewing product details and determining suitability for use or consumption.

• These products may not be approved by Health Canada.

All such items are sold AS-IS, WHERE-IS, at the buyer’s own risk.

Vape / Inhalation / Wellness Devices

• Certain lots may include vapor devices, inhalation products, or wellness-related items (including nicotine-free or “vitamin” diffusers). Auction Republic does not verify safety, ingredients, or any health-related claims associated with these products.

• These items are not sold as medical devices or smoking cessation products. Buyers are solely responsible for understanding any risks and ensuring compliance with all applicable laws prior to use.

All such items are sold AS-IS, WHERE-IS, at the buyer’s own risk.

Stock Photos

• Stock images may be used for reference purposes only.

• The actual item received may differ in color, style, packaging, version, or included components. Buyers must rely on the actual photos and written description provided in the listing before placing a bid.

Size & Fit

• Sizing may vary by brand or manufacturer.

• Auction Republic does not guarantee fit. Buyers are responsible for reviewing item labels, descriptions, and photos prior to bidding.

Electronics & Powered Items

• Items that can be powered on may have been tested for basic power only.

• Powering on does not guarantee:

Buyers are responsible for testing items at pickup where possible. All electronics are sold AS-IS, WHERE-IS, with no guarantees, warranties, or returns.

Returns / Liquidation Merchandise

Many items originate from customer returns, overstock, shelf pulls, or liquidation sources.

Items may:

• Show signs of use or handling

• Be repackaged

• Be incomplete or missing accessories

• Have damaged packaging

Auction Republic may perform a limited visual inspection unless factory sealed. This inspection does not guarantee condition or completeness.

Factory sealed items are not opened or inspected.

All items are sold AS-IS, WHERE-IS.

9. BUYER’S RESPONSIBILITY

Buyers are responsible for reviewing all descriptions, photos, and lot details prior to bidding.

Bids are placed at the buyer’s sole discretion and risk.

Buyers may not rely on verbal statements, assumptions, or interpretations not expressly stated in the listing.

Items may not be suitable for their intended use. All use, installation, and assembly are the buyer’s sole responsibility.

10. ASSEMBLY, USE & SAFETY

Some products may require assembly, installation, or proper handling. Auction Republic accepts no liability for improper assembly, installation, use, or misuse.

The buyer assumes all risks associated with use, including but not limited to injury, damage, or loss arising from the use or misuse of any item.

11. AUCTIONEER’S RIGHTS

Auction Republic reserves the right to:

• Combine, divide, or remove lots

• Cancel suspicious bids or bidding behavior

• Suspend sales due to technical error or misconduct

Auction Republic reserves the right to resell any item immediately if a bidder is found in violation of these Terms.

Auction Republic reserves these rights at its sole and absolute discretion, without notice or liability.

12. TECHNOLOGY DISCLAIMER

Auction Republic is not liable for:

• Internet issues

• Bidder device problems

• Platform interruptions that prevent bidding

This includes missed bids, delayed bids, or failure to execute bids due to any technical issue.

13. LIMITATION OF LIABILITY

Auction Republic and its affiliates are not liable for:

• Any damages exceeding the item's sale price

• Any incidental, consequential, or indirect loss from use or purchase

• Any claims arising from condition, function, or suitability of the item

To the fullest extent permitted by law, Auction Republic and its affiliates shall not be liable for any damages exceeding the purchase price of the item.

14. INDEMNIFICATION

By participating in any sale, bidders agree to indemnify and hold harmless Auction Republic and its affiliates from all claims, damages, or losses from use, handling, or resale of purchased goods including legal fees, arising from use, handling, resale, or disposal of purchased goods.

15. Governing Law & Jurisdiction

All transactions and disputes shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any legal action must be filed within Ontario.

16. NO WARRANTIES

All items are sold AS-IS, WHERE-IS, with no warranties or guarantees of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, condition, completeness, or authenticity.
